These Terms of Service ("Terms") govern your use of the website https://firmsrated.com (the "Site") operated by FirmsRated ("we", "us", "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must stop using the Site immediately.

1. Description of Service

FirmsRated is a business directory that helps users find, compare, and evaluate companies and service providers. Users can browse listed businesses and submit their own business for listing ("Submission"). We offer free and paid listing plans.

2. Eligibility

You must be at least 16 years of age to use the Site. By using the Site, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. User Accounts

To submit a listing, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to provide accurate and complete registration information and to keep it up to date.

4. Submissions and User Content

To list a business on FirmsRated, you must create an account and complete the submission form.

a) Submission Process

  • You provide your business details: name, website URL, description, introduction, images, and optional social media links.
  • You select up to 3 categories and 3 tags for your listing.
  • All submissions are checked against our content policy (see Section 5) both automatically and manually.
  • Standard (Free) submissions require a FirmsRated badge on your website, are placed in a review queue, and published after manual review. Removing the badge after publication will result in your listing being deleted without notice.
  • Premium submissions ($12.99) are approved and published within 24 hours upon successful payment. No badge required.

b) User Content Responsibility

You are solely responsible for all content you submit to FirmsRated, including but not limited to business descriptions, images, links, and any other information provided during the submission process. By submitting content, you represent and warrant that:

  • All information is accurate, truthful, and not misleading. You must not exaggerate capabilities, fabricate client testimonials, or misrepresent your business in any way.
  • You have the legal right to submit all content, including images, logos, and trademarks. Your submission does not infringe any third-party intellectual property rights.
  • Your content does not contain unlawful, defamatory, fraudulent, or misleading material.
  • You are authorized to represent the business being submitted. You must not submit listings for businesses you do not own or have authorization to represent.

We are not liable for any damages, claims, or disputes arising from user-submitted content. If a third party raises a claim regarding your submission (e.g., trademark infringement, false advertising), you agree to indemnify and hold us harmless (see Section 14).

c) Content License

  • You retain ownership of the content you submit. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your submission on the Site and related marketing channels.
  • We reserve the right to reject, remove, or modify any submission at our sole discretion, including for violations of these Terms or our content policies.

d) AI-Enhanced Content

Listing profiles may include AI-generated content (descriptions, summaries, pros/cons) produced based on publicly available information from your website. This content is generated automatically and may contain inaccuracies. You are responsible for reviewing all content on your listing page. If you find errors, contact us via our contact page and we will make reasonable corrections.

5. Prohibited Content

You may not submit content that promotes or relates to: adult content or pornography; gambling or casinos; illegal drugs or controlled substances; weapons or explosives; scams, MLM, or pyramid schemes; fake reviews or follower services; or any other illegal services or activities. Submissions violating this policy will be rejected or removed without refund. We reserve the right to update this list at any time.

6. Pricing Plans

We offer the following listing plans. All plans provide a lifetime listing with a one-time payment and no recurring fees:

  • Standard ($0): Free listing with manual review. Requires a FirmsRated badge on your website (must remain permanently). Includes 1 dofollow backlink and a concise AI-generated company summary. Listings are published after manual approval. There is no guaranteed publish date, and we reserve the right to reject submissions that do not meet our quality standards.
  • Premium ($12.99, one-time): Go live within 24 hours, skip the review queue. Includes 3 permanent dofollow backlinks, a comprehensive AI-generated company profile with editorial analysis, and no badge requirement. If your listing is not live within 24 hours, you are entitled to a full refund.

7. Payments, Merchant of Record, and Refunds

All payments are processed by Polar, which acts as the merchant of record for all transactions on FirmsRated. This means:

  • Polar is the legal entity that processes your payment, collects applicable taxes (including VAT), issues invoices, and handles billing disputes.
  • Your payment relationship is with Polar. Any charges on your bank or credit card statement will appear as Polar.
  • We do not store or have access to your credit card or payment details. All payment data is handled securely by Polar under their own terms and privacy policy.

Refund Policy

  • Premium listings come with a 24-hour delivery guarantee. If your listing is not published within 24 hours of payment, you are entitled to a full refund.
  • Once a listing has been published and delivered, refunds are not available due to the digital and immediate nature of the service.
  • If your listing is rejected or removed for violating our content policy (Section 5), no refund will be issued.
  • In accordance with EU consumer protection law (Directive 2011/83/EU), by purchasing any paid service you expressly consent to immediate performance of the service and acknowledge that you waive your 14-day right of withdrawal once the digital content has been delivered.

8. AI-Powered Features

FirmsRated uses artificial intelligence to enhance the submission experience and content quality:

  • AI Autofill: When submitting a listing, you may use the optional "AI Autofill" feature. This feature analyzes your website URL and automatically suggests a business name, description, services overview, categories, and tags. All AI-generated suggestions can be reviewed and edited by you before submission. AI Autofill is rate-limited to 5 requests per hour.
  • AI-Generated Company Profiles (Premium): The Premium plan includes an AI-written, SEO-optimized company profile generated based on the information you provide and publicly available information about your business.
  • Content Moderation: AI is used to screen submissions for prohibited content (see Section 5). Submissions flagged by AI may be automatically rejected.

AI-generated content is provided as-is. While we strive for accuracy and quality, we do not guarantee that AI-generated content is error-free or factually complete. You are responsible for reviewing all content associated with your listing and notifying us of any inaccuracies via our contact page.

9. Intellectual Property

Unless otherwise indicated, the Site design, source code, logos, graphics, and other materials (the "Content") are our proprietary property. You may not reproduce, distribute, or create derivative works from our Content without prior written permission.

10. Privacy and Data Protection

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your personal data in compliance with GDPR. By using the Site, you acknowledge that you have read and understood these policies.

11. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not guarantee that the Site will be uninterrupted, error-free, or free of harmful components. We do not endorse, verify, or guarantee the accuracy of any user-submitted content or the quality of any listed business.

12. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, including but not limited to damages arising from reliance on user-submitted content, AI-generated content, or listings on the Site. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

13. No Endorsement

Listing a business on FirmsRated does not constitute an endorsement, recommendation, or guarantee of quality by us. Users should conduct their own due diligence before engaging with any listed business. We are a directory platform and do not participate in or mediate transactions between users and listed businesses.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: your use of the Site; content you submit; your violation of these Terms; or any claim by a third party that your submission infringes their rights.

15. Termination

We may suspend or terminate your account and access to the Site at any time, with or without notice, for conduct that we determine violates these Terms or is harmful to other users or the Site. You may delete your account at any time via our contact page.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the European Union and the jurisdiction where FirmsRated is established. Any disputes shall be resolved through good-faith negotiation first. If you are a consumer in the EU, you retain the right to bring proceedings in the courts of your country of residence, and you may use the EU Online Dispute Resolution platform.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new "Last updated" date. Continued use of the Site after changes constitutes acceptance of the revised Terms.
